IMPORTANT NOTICE

Please read these Terms and Conditions carefully before using NeuBrand. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and NeuBrand.

1. Parties and Identification

1.1

NeuBrand is operated by Otegbade Emmanuel and Awesu Haminat, trading as NeuBrand (“NeuBrand,” “we,” “us,” or “our”), with a business address at Bookshop Building, University of Lagos Main Campus, Akoka Road, Yaba, Lagos 101017, Nigeria.

1.2

“You,” “User,” or “Subscriber” refers to any individual or entity that accesses, registers for, or uses the NeuBrand platform available at neubrandng.com and its associated subdomains and applications.

1.3

NeuBrand is not affiliated with, endorsed by, or in any way connected to LinkedIn Corporation or its parent company Microsoft Corporation. All references to LinkedIn in this Service are for descriptive purposes only.

2. Definitions

“Service” means the NeuBrand web application, all features, tools, and AI-generated content available at neubrandng.com.

“AI-Generated Content” means any LinkedIn headlines, About sections, experience bullets, cover letters, CV rewrites, social media posts, skill analyses, or other written outputs produced by the Service using artificial intelligence.

“Profile Data” means any personal or professional information you submit to the Service, including your name, email address, LinkedIn profile text, CV content, career history, industry, goals, and interview answers.

“Subscription Plan” means any paid tier of the Service (Starter, Growth, or Japa) as described on our pricing page.

“Free Tier” means the limited free access to the Service available without payment.

“Third-Party AI Provider” means Anthropic PBC, whose Claude AI models process your Profile Data to generate AI-Generated Content.

3. Acceptance of Terms

3.1

By creating an account, using the Service, or clicking any button indicating acceptance, you confirm that:

(a)

You have read, understood, and agree to be bound by these Terms and our Privacy Policy;

(b)

You are at least 18 years of age;

(c)

You have the legal capacity to enter into a binding agreement;

(d)

If you are using the Service on behalf of an organisation, you have authority to bind that organisation to these Terms.

3.2

We reserve the right to update these Terms at any time. We will notify you of material changes by email to your registered address or by a prominent notice on the platform at least 14 days before changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance.

3.3

If you do not accept any updated Terms, you must stop using the Service and may cancel your subscription before the effective date of the changes.

4. Description of Service

4.1

NeuBrand provides an AI-powered LinkedIn profile optimisation platform specifically designed for Nigerian professionals. The Service includes:

(a)

Free LinkedIn Profile Audit — scoring your profile across headline, About section, experience, and skills sections;

(b)

Guided Interview and Profile Generation — a 6-question interview that generates AI-written LinkedIn headlines, About sections, and experience bullets in your voice (Starter plan and above);

(c)

CV Engine — ATS-compliant CV rewriting and tailored cover letter generation (Growth plan and above);

(d)

Weekly Content Engine — five AI-generated LinkedIn posts per week tailored to your industry and career goals (Growth plan and above);

(e)

Japa Mode — profile rewriting and skills analysis optimised for international recruiters in the UK, US, Canada, UAE, Germany, Netherlands, Australia, and other markets (Japa plan only).

4.2

The specific features available to you depend on your Subscription Plan as described on our pricing page at neubrandng.com/pricing.

4.3

We reserve the right to modify, update, or discontinue any feature of the Service at any time with reasonable notice to subscribers.

5. User Accounts

5.1

Registration. You must create an account to access most features. You agree to provide accurate, complete, and current information during registration and to update this information promptly if it changes.

5.2

Account Security. You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at getbrandedng@gmail.com if you suspect any unauthorised access.

5.3

One Account Per User. You may not create multiple accounts for the same individual. We reserve the right to terminate duplicate accounts.

5.4

Account Credentials. You may not share your account credentials with any other person. Each account is for a single individual user only. Sharing access is a material breach of these Terms.

6. Subscription Plans and Pricing

6.1

NeuBrand offers the following Subscription Plans, with pricing in Nigerian Naira (NGN):

6.2

Access to paid features is contingent on maintaining an active, paid Subscription Plan. Plan access expires at the end of each billing period.

6.3

Plan Expiry. NeuBrand processes payments as one-time charges per billing period rather than automatic recurring debits. Your plan expires at the end of the period paid for. You will receive a reminder email 5 days before expiry. You are responsible for renewing before expiry to maintain uninterrupted access.

6.4

Downgrade on Expiry. If your plan expires without renewal, your account automatically reverts to the Free tier. Previously generated content remains in your account but paid features are inaccessible until renewal.

6.5

Plan Changes. You may upgrade at any time. Upgrades take effect immediately with proration credit applied for unused days. Downgrades take effect at the end of your current billing period.

6.6

Pricing Changes. We will provide at least 30 days' notice of any price increase. Price changes do not affect your current billing period.

7. Payment Terms

7.1

Payment Processor. All payments are processed by Flutterwave Technology Solutions Limited, licensed by the Central Bank of Nigeria. By making a payment, you also agree to Flutterwave's terms of service. NeuBrand does not store your card details at any time.

7.2

Currency. All prices are in Nigerian Naira (NGN). International users will be charged in NGN by their card issuer and may be subject to foreign exchange fees charged by their bank. NeuBrand bears no responsibility for such fees.

7.3

Failed Payments. If a payment fails, access to paid features will be suspended or downgraded until a successful payment is made.

7.4

Taxes. Prices displayed are inclusive of any applicable Value Added Tax (VAT) at the prevailing Nigerian rate. International users are responsible for any taxes or duties imposed by their own jurisdiction.

8. Refund Policy

Summary

NeuBrand delivers value immediately upon use. All payments are final once any paid feature has been used. Refunds are only granted for verified technical failures, duplicate charges, or billing errors on our end.

8.1

No Refunds After Feature Use. NeuBrand provides AI-generated digital content that is delivered and consumed immediately upon use. Because the value of the Service is realised the moment you generate a profile, CV, posts, or any other AI output, all payments are final and non-refundable once any paid feature has been used. This includes running the guided interview, generating a headline or About section, generating a CV or cover letter, generating LinkedIn posts, or running a Japa skills analysis. You are encouraged to use our free tier — which includes up to 3 profile audits per day — to evaluate the quality of the Service before making any payment.

8.2

When Refunds Are Granted. We will issue a refund only in the following specific circumstances:

(a)

Verified technical failure — NeuBrand experienced a confirmed technical failure that prevented you from accessing the Service for a material portion of your paid billing period, through no fault of your own. Requests must be submitted within 14 days with a description of the issue.

(b)

Duplicate charge — You were charged twice for the same plan in the same billing period due to a payment processing error. Submit evidence of the duplicate charge within 14 days.

(c)

Billing error — A payment was processed in error due to a fault on our side. Requests must be submitted within 14 days with supporting evidence.

Dissatisfaction with AI-Generated Content, disagreement with audit scores, failure to achieve employment outcomes, or change of mind do not constitute grounds for a refund.

8.3

How to Request a Refund. All refund requests must be submitted in writing to getbrandedng@gmail.com with the subject line “Refund Request” and must include your registered email address, the date of payment, the Flutterwave transaction reference, and a description of the qualifying reason. We will respond within 5 business days.

8.4

Chargeback Policy. Filing a chargeback or payment dispute with your bank or card issuer without first contacting NeuBrand to attempt resolution is a breach of these Terms. Doing so will result in immediate suspension of your account. We will contest all chargebacks where our records show the Service was accessed and used. We reserve the right to permanently ban accounts associated with fraudulent chargebacks.

8.5

Processing Time. Approved refunds will be processed within 5 to 10 business days and returned to the original payment method.

9. AI-Generated Content — Critical Disclaimers

9.1

Nature of AI Output. The Service uses Anthropic's Claude AI models to generate LinkedIn content, CV rewrites, cover letters, and other written outputs. You acknowledge and agree that:

(a)

AI-Generated Content is created algorithmically and may contain inaccuracies, errors, omissions, or content that does not accurately reflect your experience, qualifications, or career history;

(b)

AI-Generated Content is a starting point, not a finished product. You are solely responsible for reviewing, editing, verifying, and approving all AI-Generated Content before using it on any platform or submitting it to any employer or recruiter;

(c)

The quality of AI-Generated Content depends on the accuracy and completeness of the Profile Data you provide.

9.2

No Guarantee of Outcomes. NeuBrand expressly does not guarantee that using AI-Generated Content will improve your LinkedIn visibility, result in job interviews, job offers, promotions, salary increases, or any other employment outcome, or that content will pass any specific ATS system used by any particular employer.

9.3

User Responsibility. You are solely responsible for all content you publish on LinkedIn or any other platform, regardless of whether that content was generated by NeuBrand. You must ensure all AI-Generated Content is accurate, truthful, and compliant with the terms of service of any platform on which you publish it.

9.4

Prohibition on Misrepresentation. You expressly agree that you will not use AI-Generated Content to fabricate, exaggerate, or misrepresent your qualifications, experience, skills, or achievements to any employer, recruiter, or professional contact. Violation of this clause may result in immediate account termination and may constitute an offence under applicable Nigerian law.

9.5

Data Transmission to AI Provider. You acknowledge and consent to the fact that your Profile Data is transmitted to Anthropic PBC for processing. Anthropic is a sub-processor engaged by NeuBrand under a Data Processing Agreement.

9.6

Ownership of AI-Generated Content. Subject to your compliance with these Terms, you retain ownership of all AI-Generated Content created from your Profile Data. NeuBrand does not claim ownership of your generated outputs.

10. Intellectual Property

10.1

NeuBrand IP. The NeuBrand platform, brand, logo, design system, prompts, algorithms, source code, and all software underlying the Service are owned by NeuBrand and protected under applicable intellectual property laws. You acquire no ownership rights in any part of the platform by using the Service.

10.2

User Content Licence. By submitting Profile Data to NeuBrand, you grant us a limited, non-exclusive, royalty-free, worldwide licence to use, process, store, and transmit your Profile Data solely for the purpose of providing the Service to you. We do not use your individual Profile Data to train AI models. This licence terminates when you delete your account.

10.3

Feedback. If you submit feedback, suggestions, or ideas about the Service, you grant NeuBrand the right to use that feedback without restriction or compensation.

10.4

Trademark. “NeuBrand” and the NeuBrand logo are trading names and unregistered trademarks of Otegbade Emmanuel and Awesu Haminat. You may not use our name or branding without prior written consent.

11. Data Protection and Privacy — NDPR Compliance

11.1

Data Controller. NeuBrand acts as the Data Controller in respect of all personal data collected through the Service, as defined under the Nigeria Data Protection Regulation 2019 (NDPR) issued by NITDA.

11.2

Data We Collect. We collect and process: identity and contact data (name, email); authentication data (password hash — passwords are never stored in plain text); profile and career data (LinkedIn text, CV content, career history, industry, achievements, interview answers); technical data (session tokens, IP address for rate limiting); usage data (features accessed, audit scores, subscription status); and payment reference data (Flutterwave transaction references — not card details).

11.3

Legal Basis for Processing. We process your personal data on the bases of: performance of contract (to deliver the Service); legitimate interests (fraud prevention and security); consent (for any processing beyond what is strictly necessary); and legal obligation (where required by Nigerian law).

11.4

Data Retention. We retain your personal data for as long as your account is active. Upon account deletion, your personal data will be deleted within 30 days, except where retention is required by law.

11.5

Your Rights Under NDPR. You have the right to access, correct, delete, object to processing, restrict processing, and receive your data in a portable format. To exercise any of these rights, contact getbrandedng@gmail.com. We will respond within 30 days.

11.6

Data Security. We implement appropriate technical and organisational security measures including bcrypt password hashing, HTTP-only secure session cookies, SSL/TLS encryption, and database access controls. However, no data transmission over the internet is entirely secure.

11.7

Data Breach Notification. In the event of a personal data breach likely to result in risk to your rights and freedoms, we will notify you and NITDA in accordance with NDPR requirements.

12. International Users

12.1

General. These Terms are governed by Nigerian law. If you access NeuBrand from outside Nigeria, you do so voluntarily and are responsible for compliance with applicable local laws.

12.2

EU and UK Users (GDPR). If you are located in the EEA or United Kingdom, you have the right to lodge a complaint with your local data protection supervisory authority. Where we transfer your data outside the EEA or UK (including to Anthropic and Vercel in the United States), we ensure appropriate safeguards are in place in accordance with GDPR Chapter V requirements.

12.3

California Residents (CCPA). You have the right to know what personal information we collect, the right to delete it, and the right to opt-out of the sale of personal information. NeuBrand does not sell personal information. Contact getbrandedng@gmail.com to exercise your CCPA rights.

12.4

Currency. NeuBrand prices in Nigerian Naira (NGN). International users acknowledge that exchange rate fluctuations may affect the cost in their local currency.

13. Third-Party Services and Sub-Processors

By using NeuBrand, you acknowledge that your data may be processed by the following sub-processors:

13.2

NeuBrand is not responsible for the acts or omissions of these third-party services. Data shared with sub-processors is limited to what is strictly necessary to deliver the Service.

13.3

We do not sell, rent, or trade your personal data to any third party for marketing purposes.

14. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

(a)

Use the Service to generate content that misrepresents your professional qualifications or experience;

(b)

Access, tamper with, or use non-public areas of the Service or its technical infrastructure;

(c)

Probe, scan, or test the vulnerability of the Service or circumvent any security or authentication measures;

(d)

Attempt to reverse engineer, decompile, or extract the source code of any part of the Service;

(e)

Use automated tools, bots, or scrapers to access the Service in excess of normal usage patterns;

(f)

Interfere with or disrupt the integrity or performance of the Service;

(g)

Attempt to access another user's account without authorisation;

(h)

Upload or transmit viruses, malware, or any other malicious code;

(i)

Use the Service to generate content for other people without their knowledge and consent;

(j)

Circumvent any plan restrictions by creating multiple accounts;

(k)

Use the Service in any way that violates any applicable Nigerian or international law or regulation.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice and without refund.

15. Rate Limits and Fair Use

15.1

The Service applies daily usage limits to ensure fair access for all users:

15.2

Rate limits reset daily at midnight UTC. Unused allowances do not carry over.

15.3

We reserve the right to impose additional restrictions on accounts that display unusual usage patterns that may negatively impact service quality for other users.

16. Disclaimers

16.1

“As Is” Service. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

16.2

Availability. We do not warrant that the Service will be uninterrupted or error-free. We may perform maintenance that temporarily renders the Service unavailable.

16.3

AI Accuracy. We do not warrant the accuracy, completeness, reliability, or suitability of any AI-Generated Content for any particular purpose. AI-Generated Content may contain errors or outdated information.

16.4

Professional Advice. The Service does not constitute career advice, legal advice, immigration advice, or any other form of professional advice. You should consult a qualified professional for specific guidance.

17. Limitation of Liability

17.1

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, NEUBRAND, ITS FOUNDERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF EMPLOYMENT OPPORTUNITIES, FAILED JOB APPLICATIONS, UNSUCCESSFUL INTERVIEWS, OR ANY CAREER OUTCOME, LOSS ARISING FROM RELIANCE ON AI-GENERATED CONTENT, OR ANY LOSS RESULTING FROM THIRD-PARTY SERVICE FAILURES.

17.2

Liability Cap. NEUBRAND'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEUBRAND IN THE 30 DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17.3

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Nigerian law. Nigerian consumers retain their rights under the Federal Competition and Consumer Protection Act 2018 (FCCPA) to the extent these Terms conflict with mandatory consumer protection provisions.

18. Indemnification

You agree to defend, indemnify, and hold harmless NeuBrand, its founders, employees, agents, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

(a)

Your violation of these Terms;

(b)

Your use of the Service in a manner not authorised by these Terms;

(c)

Your violation of any third-party rights, including intellectual property rights;

(d)

Your use of AI-Generated Content to misrepresent your qualifications or experience to any employer or recruiter;

(e)

Any claims brought against NeuBrand by third parties arising from your conduct.

19. Account Termination

19.1

Termination by You. You may close your account at any time by contacting us at getbrandedng@gmail.com. Closing your account does not automatically entitle you to a refund. Refunds are subject to Section 8.

19.2

Termination by NeuBrand. We reserve the right to suspend or terminate your account, with or without notice, if you breach any provision of these Terms, we suspect fraudulent or illegal activity, or continued provision of the Service to you would expose NeuBrand to legal liability.

19.3

Effect of Termination. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination to allow you to request a copy, after which it will be deleted. Provisions that by their nature should survive termination will survive, including Sections 9, 10, 17, 18, and 20.

20. Governing Law and Dispute Resolution

20.1

Governing Law. These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

20.2

Informal Resolution. Before commencing any formal proceedings, you agree to first contact us at getbrandedng@gmail.com to attempt to resolve any dispute informally. We will endeavour to resolve disputes within 30 days of receiving written notice.

20.3

Jurisdiction. If a dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

21. Force Majeure

NeuBrand shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including acts of God, government actions, telecommunications failures, internet service disruptions, cyberattacks, power outages, civil unrest, or pandemics.

22. Children and Age Restriction

22.1

The Service is not intended for individuals under 18 years of age. We do not knowingly collect personal data from individuals under 18. If you are under 18, you must not use the Service.

22.2

If we become aware that we have collected personal data from a person under 18, we will delete that data promptly. If you believe a minor has registered an account, please contact us at getbrandedng@gmail.com.

23. LinkedIn Disclaimer

23.1

NeuBrand is an independent service and is not affiliated with, authorised by, endorsed by, or in any way connected to LinkedIn Corporation or Microsoft Corporation. LinkedIn is a registered trademark of LinkedIn Corporation.

23.2

You are responsible for ensuring that your use of AI-Generated Content on LinkedIn complies with LinkedIn's User Agreement and Professional Community Policies at all times. NeuBrand is not responsible for any action taken by LinkedIn against your account.

24. Anti-Corruption and Ethics

NeuBrand is committed to ethical business practices. We prohibit bribery, corruption, and any conduct that violates applicable anti-corruption laws, including the Corrupt Practices and Other Related Offences Act (Nigeria). We do not make facilitation payments of any kind.

25. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be severed from the remainder of the Terms, which will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the parties' original intent.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeuBrand relating to your use of the Service and supersede all prior agreements, representations, warranties, and understandings.

27. Waiver

No failure or delay by NeuBrand in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right. A waiver of any breach shall not constitute a waiver of any subsequent breach.

28. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. NeuBrand may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
